WINNIPEG, MB, September 29, 2015 – Ag Growth International Inc. (TSX: AFN) ("AGI" or the "Company") is pleased to announce that it has closed its previously announced offering of $75 million aggregate principal amount of convertible unsecured subordinated debentures (the "Debentures") at a price of $1,000 per Debenture. A syndicate bookrun by TD Securities Inc., CIBC and National Bank Financial Inc. and including Scotiabank, AltaCorp Capital Inc., Cormark Securities Inc. and Laurentian Bank Securities Inc. (collectively, the "Underwriters") acted as underwriters for the offering.
The Debentures have an interest rate of 5.00% per annum, are convertible at the option of the holder into common shares of AGI at a conversion price of $60.00 per share and have a maturity date of December 31, 2020. The Debentures are listed for trading on the Toronto Stock Exchange under the symbol "AFN.DB.C". AGI has granted the Underwriters an over-allotment option, exercisable in whole or in part for a period of 30 days following closing, to purchase up to an additional $11,250,000 aggregate principal amount of Debentures.
